PROFACTS BV - ALGEMENE VOORWAARDEN DIENSTVERLENING

1. ALGEMENE BEPALINGEN

1.1 Deze algemene voorwaarden (hierna “Algemene Voorwaarden”) zijn van toepassing op de diensten (hierna “Diensten”) door Profacts BV, een besloten vennootschap met zetel te Pauline van Pottelsberghelaan 12, 9051 Gent, België, RPR BE 0883.521.431 (hierna “Profacts”), geleverd aan haar klanten (hierna de “Klant”) vanaf 1 december 2023. Partijen kunnen bij wederzijds akkoord van deze Algemene Voorwaarde afwijken in specifieke voorwaarden. Wijzigingen aan deze Algemene Voorwaarden zijn niet geldig, tenzij uitdrukkelijk voorafgaand en schriftelijk overeengekomen tussen partijen.

1.2 Deze Algemene Voorwaarden hebben voorrang op eventuele algemene voorwaarden van de Klant.

2. AANBOD OF BESTELLING VAN DIENSTEN – TOTSTANDKOMING VAN DE OVEREENKOMST – ANNULATIE BESTELLING

2.1 De levering van de Diensten is pas bevestigd en de overeenkomst (hierna de “Overeenkomst”) wordt geacht te zijn gesloten, wanneer:

a) ofwel Profacts (i) een schriftelijk aanbod van levering van Diensten heeft gedaan aan de Klant en (ii) de Klant schriftelijk heeft aangegeven de levering van de Diensten door Profacts te aanvaarden (bv. op basis een goedgekeurde en ondertekende offerte of bestelbon);

b) ofwel de Klant (i) schriftelijk een bestelling van Diensten heeft geplaatst en (ii) Profacts, via haar behoorlijk gemachtigde vertegenwoordiger(s), schriftelijk heeft ingestemd, zonder voorbehoud, de Diensten te willen leveren overeenkomstig de bestelling. De Klant kan zijn bestelling niet annuleren, tenzij na uitdrukkelijke en schriftelijke toestemming van Profacts of mits integrale betaling van de prijs.

2.2 Door een bestelling van Diensten te plaatsen of door een levering van Diensten te aanvaarden, aanvaardt de Klant deze Algemene Voorwaarden zonder voorbehoud.

3. PRIJS EN BETALING

3.1 Elke factuur is integraal en zonder enige vermindering of compensatie betaalbaar binnen 30 dagen na datum van de factuur.

3.2 In geval van laattijdige betaling van een factuur, heeft Profacts het recht om de uitvoering van de bestaande bestellingen, hetzij de Overeenkomst in haar geheel, onmiddellijk op te schorten tot op het ogenblik dat alle eisbare bedragen volledig zijn betaald, onverminderd het recht van Profacts om contante betaling te vragen bij de levering of om enig ander wettelijk rechtsmiddel aan te wenden.

In geval van laattijdige betaling van een factuur, is, in ieder geval, van rechtswege en zonder voorafgaande ingebrekestelling (i) een nalatigheidinterest gelijk aan de interest in overeenstemming met de Wet van 02/08/2002 betreffende de bestrijding van de betalingsachterstand bij handelstransacties (B.S. 07/08/2002) van toepassing op het verschuldigde bedrag, aan te rekenen vanaf het ogenblik van het opeisbaar worden van het bedrag tot op het ogenblik van volledige betaling, en (ii) een forfaitair bedrag ter dekking van de administratieve kosten van 250,00 EUR per factuur.

3.3 Om het even welk protest betreffende facturen van Profacts dient aangetekend en per e-mail te gebeuren binnen de vijftien (15) kalenderdagen na factuurdatum.

4. LEVERING

4.1 De door Profacts medegedeelde leveringstermijnen zijn louter indicatief. De leveringstermijnen zijn afhankelijk van allerlei factoren met inbegrip van, maar niet beperkt tot, de ontvangst van een door de Klant goedgekeurde en getekende offerte of bestelbon, de volgorde van bestellingen en de beschikbaarheid van de menselijke middelen van Profacts.

Profacts zal zich, naar beste vermogen, inspannen om zich te houden aan de medegedeelde leveringstermijnen mits de Klant zijn verplichtingen onder deze Algemene Voorwaarden en eventuele overeengekomen specifieke voorwaarden naleeft. Vertragingen bij de levering kunnen niet leiden tot een annulering van de bestelling, noch tot enige schadevergoeding of boete.

4.2 Indien de Klant in gebreke blijft een daad te stellen die noodzakelijk is in het kader van de levering van de Diensten, heeft Profacts het recht om de Overeenkomst van rechtswege, zonder voorafgaande rechterlijke tussenkomst en met onmiddellijke ingang, te beëindigen d.m.v. ontbinding. In dat geval heeft Profacts het recht om de verliezen en kosten ten gevolge van dergelijk nalaten te verhalen op de Klant.

4.3 De door Profacts opgeleverde rapporten, documenten, analyses en andere materialen (hierna “Materialen”) zijn en blijven de intellectuele eigendom van Profacts en de Klant ontvangt enkel een niet-overdraagbare en niet-exclusieve licentie op deze Materialen voor intern gebruik.

4.4 De door Profacts ontvangen gegevens noodzakelijk voor het leveren van Diensten worden, met uitzondering van persoonsgegevens, bewaard gedurende een termijn van tien (10) jaar.

5. OVERMACHT

Profacts is niet aansprakelijk ten opzichte van de Klant voor eventuele schade die zou kunnen voortvloeien uit de gebrekkige of niet uitvoering van een verplichting onder deze Algemene Voorwaarden, wanneer dergelijke gebrekkige of niet uitvoering het gevolg is van omstandigheden waarover zij redelijkerwijze geen controle heeft, met inbegrip van, maar niet beperkt tot materiaaldefecten, arbeidsgeschillen, overheidsmaatregelen ingevolge pandemie of epidemie, overstromingen, onweer of andere omstandigheden die de normale en tijdige levering van de Diensten aantasten.

6. AANSPRAKELIJKHEID

6.1 In geval van aansprakelijkheid van Profacts, kan Profacts, naar de keuze van Profacts, enkel worden gehouden tot:

(a) ofwel de Diensten opnieuw te leveren, wanneer een dergelijke levering mogelijk is,

(b) ofwel een schadevergoeding te betalen onder de voorwaarden zoals bepaald in artikel 6.2 hierna.

6.2 In elk geval is de aansprakelijkheid van Profacts beperkt tot de prijs van de door de Klant aan Profacts betaalde Diensten die aanleiding gaven tot de schade. De aansprakelijkheid van Profacts is uitgesloten voor schade veroorzaakt door acties die de Klant neemt ten gevolge van de geleverde Diensten of door enige aanbevelingen gemaakt door Profacts in het kader van de Diensten. Profacts is niet aansprakelijk voor gevolgschade, verlies van inkomsten, verlies van een kans, verlies van productiviteit, verlies van gegevens voortvloeiend uit het gebruik van de Diensten, of voor morele schade, met inbegrip van, maar niet beperkt tot reputatieschade. Deze aansprakelijkheidsbeperking geldt voor zover toegestaan onder het toepasselijke recht en ongeacht het toepasselijke aansprakelijkheidsregime.

7. REFERENTIE

De Klant laat Profacts toe om te verwijzen naar zijn vennootschapsnaam, zijn handelsnaam en zijn merk in het kader van de commercialisering van de Diensten.

8. PRIVACY & PERSOONSGEGEVENS

8.1 Profacts en de Klant handelen conform geldende privacywetgeving waaronder de Europese Algemene Verordening Gegevensbescherming EU 2016/679 (hierna ‘GDPR’). De Klant aanvaardt de privacy policy van Profacts zoals weergegeven op de website https://www.profacts.be/privacy.

8.2 Bij de diensten die Profacts levert voor de Klant, krijgt Profacts soms toegang tot persoonsgegevens van de Klant. In dergelijke situaties zal de Klant de rol van “Verwerkingsverantwoordelijke” en Profacts de rol van “Verwerker” hebben, zoals beschreven in de GDPR. Bij afwezigheid van een specifieke verwerkersovereenkomst met de Klant zal Profacts de verplichtingen uit artikel 28 van de GDPR opvolgen en zal in de mate van het mogelijke bijstand verlenen bij het doen nakomen van de verplichtingen uit hoofde van de artikelen 32 tot en met 36 GDPR. De klant zal al deze bijstandsprestaties vergoeden. Behoudens anders is overeengekomen heeft Profacts algemene toestemming om subverwerkers aan te stellen. Op verzoek van de Klant wordt een lijst van actieve en systematische Verwerkers van persoonsgegevens van de Klant meegedeeld. De klant krijgt op verzoek informatie over veranderingen inzake toevoeging of vervanging van verwerkers met betrekking tot de verwerking van persoonsgegevens die door de klant worden aangeleverd en kan bezwaar maken tegen deze Verwerkers binnen de 7 dagen. Als binnen deze termijn geen bezwaar wordt ontvangen, gaat Profacts ervan uit dat het gebruik van de Verwerkers goedgekeurd is. De Klant aanvaardt dat dit gaat over Verwerkers die persoonsgegevens actief en systematisch verwerken en dat er geen goedkeuring nodig is bij incidentele prestaties. Na afloop van de opdracht zal Profacts naargelang de keuze van de Klant, de gegevens terugbezorgen of definitief uitwissen, en bestaande kopieën verwijderen, tenzij de opslag ervan wettelijk verplicht is. Als er geen instructie van de klant na afloop van een project met verwerkingsactiviteit wordt meegedeeld worden de standaard dataretentieperiodes van Profacts toegepast.

8.3 Meer informatie kan steeds worden opgevraagd door een e-mail te sturen (via dataprotectionofficer@profacts.be) of te schrijven naar DPO - Profacts BV, Pauline van Pottelsberghelaan 12, 9051 Gent, België. 


9. CONFIDENTIALITEIT

9.1 Alle informatie die door de Partijen wordt verkregen in het kader van het verlenen van de Diensten heeft een vertrouwelijk karakter. Partijen dienen dit vertrouwelijk karakter te respecteren en mogen onder geen voorwendsel de vertrouwelijke informatie vrijgeven aan derden, behalve: (i) in de mate zoals vereist door de toepasselijke wet of door eender welke autoriteit; (ii) aan zijn/haar professionele adviseurs die gebonden zijn door het beroepsgeheim en enkel in de mate nodig voor eender welk rechtmatig doel en (iii) om gebruikt te worden in gerechtelijke of scheidsrechtelijke procedures.

9.2 De Klant dient bij beëindiging van de Overeenkomst, aan Profacts alle stukken en informatie terug te bezorgen.

9.3 De Klant zal geen informatie (inclusief de werkwijze van Profacts) aan derden meedelen.

10. SLOTBEPALINGEN

10.1 Deze Algemene Voorwaarden worden uitsluitend beheerst door het Belgische recht. Elk geschil in verband met deze Algemene Voorwaarden valt onder de exclusieve bevoegdheid van de rechtbanken en hoven te Gent, afdeling Gent.

10.2 Indien een bepaling van deze Algemene Voorwaarden, voor om het even welke reden, onwettelijk, nietig of onafdwingbaar wordt bevonden, zal de geldigheid van de overige bepalingen hierdoor niet worden aangetast. Partijen zullen in dergelijk geval de onwettelijk, nietig of onafdwingbaar verklaarde bepaling vervangen door een nieuwe bepaling die zo nauw mogelijk aansluit bij de oorspronkelijke bedoeling van de partijen en van de geest van de Overeenkomst.

10.3 Geen enkel(e) verzuim of nalatigheid om een bepaling van deze Algemene Voorwaarden af te dwingen, houdt een afstand van dergelijke bepaling in.

PROFACTS SARL - CONDITIONS GÉNÉRALES DE PRESTATION DE SERVICES

1. DISPOSITIONS GÉNÉRALES

1.1 Les présentes conditions générales (ci-après les « Conditions générales ») s'appliquent aux services (ci-après les « Services ») fournis par Profacts BV, une société privée à responsabilité limitée ayant son siège Pauline van Pottelsberghelaan 12, 9051 Gand, Belgique, RPM BE 0883.521.431 (ci-après « Profacts ») à ses clients (ci-après le « Client ») à partir du 1er décembre 2023. Les parties peuvent déroger d'un commun accord à ces Conditions générales dans le cadre de conditions spécifiques. Toute modification des présentes Conditions générales ne sera valable qu'à condition d'avoir été convenue expressément au préalable et par écrit entre les parties.

1.2 Les présentes Conditions générales prévalent sur les éventuelles conditions générales du Client.

2. OFFRE OU COMMANDE DE SERVICES – RÉALISATION DU CONTRAT – ANNULATION DE LA COMMANDE

2.1 La fourniture de Services n'est confirmée et le contrat (ci-après le « Contrat ») n'est réputé avoir été conclu que lorsque :

  • Profacts (i) a fait au Client une offre par écrit de fourniture de Services et (ii) le Client a indiqué par écrit accepter la fourniture des Services par Profacts (p. ex. sur la base d’une offre ou d’un bon de commande avec approbation et signature) ; ou
  • le Client (i) a passé une commande par écrit de Services et (ii) Profacts, par l'entremise de son ou ses représentants dûment mandatés, a consenti par écrit, sans réserve, vouloir fournir les Services conformément à la commande. Le Client ne peut pas annuler sa commande, sauf moyennant le consentement exprès et par écrit de Profacts ou moyennant le paiement intégral du prix.

2.2 En passant une commande de Services ou en acceptant une livraison de Services, le Client accepte les présentes Conditions générales sans réserve.

3. PRIX ET PAIEMENT

3.1 Toute facture est payable intégralement et sans aucune réduction ni compensation dans les 30 jours suivant la date de la facture.

3.2 En cas de paiement tardif d'une facture, Profacts a le droit de suspendre immédiatement l'exécution des commandes existantes, soit le Contrat dans son intégralité, jusqu'à ce que tous les montants exigibles aient été intégralement payés, sans préjudice du droit de Profacts de demander un paiement au comptant à la livraison ou d'utiliser toute autre voie de recours légale.

En cas de paiement tardif d'une facture, (i) un intérêt de retard égal à l'intérêt conformément à la Loi du 02/08/2002 concernant la lutte contre le retard de paiement dans les transactions commerciales (MB 07/08/2002) s'applique en tous les cas, de plein droit et sans mise en demeure préalable, sur le montant dû, à compter du moment de l'exigibilité du montant jusqu'au moment du paiement intégral, ainsi (ii) qu'un montant forfaitaire pour couvrir les frais administratifs de 250,00 EUR par facture.

3.3 Toute contestation relative à des factures de Profacts doit être adressée par courrier recommandé et par courrier électronique dans les quinze (15) jours calendrier suivant la date de la facture.

4. FOURNITURE

4.1 Les délais de livraison communiqués par Profacts sont purement indicatifs. Les délais de livraison dépendent de toutes sortes de facteurs, y compris, mais sans s'y limiter, la réception d'une offre ou d'un bon de commande avec approbation et signature par le Client, l'ordre des commandes et la disponibilité des ressources humaines de Profacts.

Profacts fera de son mieux pour s'en tenir aux délais de livraison communiqués à condition que le Client respecte ses obligations découlant des présentes Conditions générales et d'éventuelles conditions spécifiques convenues. Les retards de livraison ne donneront pas lieu à une annulation de la commande, ni à aucune indemnité ou sanction.

4.2 Si le Client omet d'entreprendre une action qui est indispensable dans le cadre de la livraison des Services, Profacts a le droit de mettre fin au Contrat par résiliation de plein droit, sans intervention judiciaire préalable et avec effet immédiat.

Le cas échéant, Profacts a le droit de répercuter les pertes et frais découlant d'une telle omission sur le Client.

4.3 Les rapports, documents, analyses et tout le matériel (ci-après « Matériel ») sont et restent la propriété intellectuelle de Profacts et le Client ne reçoit qu'une licence non cessible et non exclusive sur ce Matériel, destiné à un usage interne.

4.4 Les données reçues par Profacts nécessaires pour la fourniture de Services, à l'exception des données à caractère personnel, sont conservées pendant une période de dix (10) ans.

5. FORCE MAJEURE

Profacts n'est pas responsable vis-à-vis du Client de dommages éventuels qui pourraient découler de l'exécution défaillante ou de la non-exécution d'une obligation relevant des présentes Conditions générales, si une telle exécution défaillante ou non-exécution est la conséquence de circonstances sur lesquelles elle n'a raisonnablement aucun contrôle, y compris, mais sans s'y limiter, les défauts matériels, les conflits de travail, les mesures gouvernementales liées à une pandémie ou une épidémie, les inondations, les tempêtes ou d'autres circonstances qui affectent la livraison normale et ponctuelle des Services.

6. RESPONSABILITÉ

6.1 En cas de responsabilité de Profacts, Profacts peut uniquement être tenue, à son choix :

  • soit à fournir à nouveau les Services, si une telle fourniture s'avère possible,
  • soit à payer une indemnité aux conditions fixées à l'article 6.2 ci-après.

6.2 En tous les cas la responsabilité de Profacts est limitée au prix des Services payés par le Client à Profacts qui ont donné lieu au dommage. La responsabilité de Profacts est exclue pour les dommages causés par des actions prises par le Client par suite des Services fournis ou de recommandations formulées par Profacts dans le cadre des Services. Profacts n'est pas responsable de dommages consécutifs, de la perte de revenus, de la perte d'une opportunité, de la perte de productivité, de la perte de données découlant de l'utilisation des Services, ni d'un dommage moral, y compris, mais sans s'y limiter, une atteinte à la réputation. Cette limitation de la responsabilité vaut dans la mesure où elle est autorisée par le droit applicable et quel que soit le régime de responsabilité applicable.

7. RÉFÉRENCE

Le Client autorise Profacts à faire référence au nom de sa société, à sa dénomination sociale et à sa marque dans le cadre de la commercialisation des Services.

8. PROTECTION DE LA VIE PRIVÉE & DONNÉES À CARACTÈRE PERSONNEL

8.1 Profacts et le Client agissent conformément à la législation applicable en matière de protection de la vie privée, y compris le Règlement général européen sur la protection des données UE 2016/679 (ci-après « RGPD »). Le Client accepte la déclaration de confidentialité de Profacts telle qu'elle est affichée sur le site web https://www.profacts.be/privacy.

8.2 Dans le cadre de la fourniture de services de Profacts au Client, Profacts aura parfois accès aux données à caractère personnel du Client. Dans de telles situations, le Client aura le rôle de « Responsable du traitement » et Profacts celui de « Sous-traitant », tel que décrit dans le RGPD. En l'absence d'un accord spécifique de sous-traitance avec le Client, Profacts se conformera aux obligations prévues à l'article 28 du RGPD et fournira son assistance dans la mesure du possible afin de garantir le respect aux obligations prévues aux articles 32 à 36 du RGPD. Le Client versera une indemnité pour toutes ces prestations d'assistance. Sauf accord contraire, Profacts dispose d'une autorisation générale pour recourir à des sous-traitants ultérieurs. Une liste des sous-traitants actifs et systématiques des données à caractère personnel du Client sera communiquée à la demande du Client. Sur demande, le Client sera informé des changements concernant l'ajout ou le remplacement de Sous-traitants en ce qui concerne le traitement des données à caractère personnel fournies par le Client et peut s'opposer à ces Sous-traitants dans un délai de 7 jours. Si aucune objection n'est reçue dans ce délai, Profacts considérera que l'utilisation des Sous-traitants est approuvée. Le Client accepte que cela se réfère à des Sous-traitants qui traitent activement et systématiquement des données à caractère personnel et qu'aucune approbation ne soit requise en cas de prestations fortuites. À l'issue de la mission, Profacts restituera ou effacera définitivement les données, au choix du Client, et supprimera les copies existantes, à moins que leur conservation ne soit exigée par la loi. Si aucune instruction du Client n'est communiquée après la fin d'un projet comportant une activité de traitement, les périodes de conservation standard des données de Profacts seront appliquées.

9. CONFIDENTIALITÉ

9.1 Toutes les informations qui sont obtenues par les parties dans le cadre de la fourniture des Services revêtent un caractère confidentiel. Les parties doivent respecter ce caractère confidentiel et ne peuvent sous aucun prétexte communiquer les informations confidentielles à des tiers, sauf : (i) dans la mesure où cela est requis par la loi applicable ou par une autorité, quelle qu'elle soit ; (ii) à leurs conseillers professionnels qui sont liés par le secret professionnel et uniquement dans la mesure où cela s'avère nécessaire dans un but légitime, quel qu'il soit, et (iii) pour être utilisées dans des procédures judiciaires ou d'arbitrage.

9.2 À la fin du Contrat, le Client doit restituer à Profacts tous les documents et informations.

9.3 Le Client ne communiquera aucune information (y compris la méthode de travail de Profacts) à des tiers ;

10. DISPOSITIONS FINALES

10.1 Les présentes Conditions générales sont exclusivement régies par le droit belge. Tout litige concernant les présentes Conditions générales relève de la compétence exclusive des tribunaux et Cours de Gand, section Gand.

10.2 Si une disposition des présentes Conditions générales est réputée illégale, nulle ou inapplicable, pour quelque raison que ce soit, cela n'affecte en rien la validité des autres dispositions. Le cas échéant, les parties remplaceront la disposition réputée illégale, nulle ou inapplicable par une nouvelle disposition se rapprochant au plus près de l'intention initiale des parties et de l'esprit du Contrat.

10.3 Aucune omission ou négligence de faire appliquer une disposition des présentes Conditions générales n'implique un renoncement à une telle disposition.

PROFACTS BV - GENERAL TERMS & CONDITIONS OF SERVICE PROVISION

1. GENERAL PROVISIONS

1.1 These general terms and conditions (hereinafter: "General Terms and Conditions") apply to the services (hereinafter: "Services") provided by Profacts BV, a private limited company with its registered office at Pauline van Pottelsberghelaan 12, 9051 Ghent, Belgium, RPR BE 0883.521.431 (hereinafter: "Profacts"), to its customers (hereinafter: "Customer") as from 1 December 2023. The parties may agree upon specific conditions that deviate from these General Terms and Conditions, by mutual agreement. Amendments to these General Terms and Conditions are invalid unless they are expressly agreed in advance in writing by the parties.

1.2 These General Terms and Conditions prevail over any general terms and conditions of the Customer.

2. OFFER OR ORDER OF SERVICES - REALISATION OF THE CONTRACT - CANCELLATION OF AN ORDER

2.1 The Services are only deemed to be confirmed and the contract (hereinafter: "Contract") is only deemed to be concluded when:

  • either Profacts (i) has made an offer in writing of the provision of Services to the Customer, and (ii) the Customer has indicated in writing that it will accept the provision of Services by Profacts (e.g. based on an approved and signed offer or purchase order);
  • or the Customer (i) has placed an order in writing for Services, and (ii) Profacts, through its duly authorised representative or representatives, has agreed in writing to provide Services in accordance with the order without reservation. The Customer can only cancel its order with the express and written permission of Profacts or upon payment of the price in full.

2.2 When the Customer places an order for Services or accepts the provision of Services, the Customer accepts these General Terms and Conditions without reservation.

3. PRICE AND PAYMENT

3.1 Each invoice is payable in full within 30 days of the date of the invoice, without any reduction or compensation.

3.2 In the event of late payment of an invoice, Profacts is entitled to immediately suspend the execution of existing orders or the Contract in its entirety until such time as all due amounts are paid in full, without prejudice to the right of Profacts to demand cash payment upon delivery or to use any other legal remedy.

In the event of late payment of an invoice, the following shall apply by operation of law and without prior notice of default: (i) default interest shall be added to the amount owed, in accordance with the Law of 02/08/2002 on combating late payment in commercial transactions (B.S. 07/08/2002), to be calculated from the time the amount became due until the time of full payment, and (ii) a lump sum shall be charged on the amount owed, amounting to EUR 250.00 per invoice, to cover administrative costs.

3.3 Any objection whatsoever regarding any Profacts invoice must be sent by registered post and by email within fifteen (15) calendar days following the invoice date.

4. DELIVERY

4.1 The delivery times communicated by Profacts are purely indicative. The delivery times depend on a variety of factors including, but not limited to, the receipt of an offer or purchase order approved and signed by the Customer, the order backlog and the availability of human resources of Profacts.

Profacts shall endeavour, to the best of its ability, to adhere to the delivery times communicated, provided that the Customer complies with its obligations under these General Terms and Conditions and with any specific conditions agreed upon. Delays in delivery cannot lead to the cancellation of the order, any compensation for damage or any penalties.

4.2 If the Customer fails to perform an act necessary for the provision of Services, Profacts shall be entitled to terminate the Contract by operation of law, without prior judicial intervention and with immediate effect, by way of nullification.

In such case, Profacts shall be entitled to recover the losses and costs resulting from such failure from the Customer.

4.3 The reports, documents, analyses and other materials (hereinafter: "Materials") delivered by Profacts are and will remain the intellectual property of Profacts and the Customer will only receive a non-transferable and non-exclusive licence for the internal use of these Materials.

4.4 The data received by Profacts that is necessary for the provision of Services will be retained for a period of ten (10) years, with the exception of personal data.

5. FORCE MAJEURE

Profacts shall not be liable to the Customer for any damage that may result from the failure to perform or the non-performance of any obligation under these General Terms and Conditions, where such failure to perform or non-performance is due to circumstances beyond its reasonable control, including but not limited to defective materials, labour disputes, governmental action due to a pandemic or epidemic, floods or storms, or other circumstances affecting the normal and timely provision of Services.

6. LIABILITY

6.1 In the event of the liability of Profacts, Profacts shall only be obliged, at its discretion, to:

  • either provide the Services again, if such provision is possible,
  • or pay compensation for damage under the conditions set out in Article 6.2. below.

6.2 In any event, the liability of Profacts is limited to the price of Services purchased by the Customer from Profacts that caused the damage. Any liability of Profacts for damage caused by actions taken by the Customer as a result of Services provided or by any recommendations made by Profacts in connection with Services provided, is excluded. Profacts shall not be liable for consequential damage, loss of revenue, loss of opportunity, loss of productivity, loss of data resulting from the use of Services, or for any moral damage, including but not limited to damage to reputation. This limitation of liability applies to the extent permitted by applicable law and irrespective of the applicable liability regime.

7. REFERENCES

The Customer allows Profacts to refer to its company name, trade name and brand in the context of the commercialisation of Services.

8. PRIVACY & PERSONAL DATA

8.1 Profacts and the Customer shall act in compliance with the applicable privacy legislation, including the European General Data Protection Regulation EU 2016/679 (hereinafter: “GDPR”). The Customer accepts the Profacts privacy policy as shown on the following website: https://www.profacts.be/privacy.

8.2 Profacts sometimes gains access to the Customer’s personal data when providing him, her or it with its services. In such situations, the Customer shall have the role of “Controller” and Profacts that of “Processor” as set out in the GDPR. If there is no specific processing agreement with the Customer, Profacts shall follow the obligations laid down in Article 28 of the GDPR and, to the extent possible, provide assistance in imposing obligations on the grounds of Articles 32 to 36, inclusive, of the GDPR. The Customer shall pay for all such assistance provided. Unless there is an agreement to the contrary, Profacts has general permission to engage sub-processors. If the Customer so requests, a list of the Customer’s active and systematic Processors processing the Customer’s personal data shall be disclosed to him, her or it. If the Customer so requests, he, she or it shall be given information regarding any changes relating to any addition or substitution of processors with regard to processing personal data provided by the Customer and he, she or it shall be able to object to the said Processors within 7 days. If no objection has been received within such period, Profacts shall presume that the use by the Processors is approved. The Customer accepts that this concerns Processors who actively and systematically process personal data and that no approval is necessary for any incidental processing. After the assignment has been finished and depending on what the Customer decides, Profacts shall return the data or definitively erase them and delete existing copies unless storage thereof is mandatory in accordance with the law. The standard Profacts data retention periods shall be applied if the Customer does not give any instruction after a project containing processing activity has been finished.

9. CONFIDENTIALITY

9.1 All information obtained by the parties in the context of providing Services is confidential in nature. The parties must respect this confidentiality and may not disclose the confidential information to third parties under any pretext, except:

(i) to the extent required by applicable law or by any authority,

(ii) to his/her professional advisers who are bound by professional secrecy and only to the extent necessary for any lawful purpose, and

(iii) to be used in judicial or arbitral proceedings.

9.2 Upon termination of the Contract, the Customer must return all documents and information to Profacts.

9.3 The Customer shall not disclose any information to third parties, including the working methods of Profacts.

10. FINAL PROVISIONS

10.1 These General Terms and Conditions are governed exclusively by Belgian law. Any dispute relating to these General Terms and Conditions falls under the exclusive jurisdiction of the courts and tribunals of Ghent, Ghent Division.

10.2 If any provision of these General Terms and Conditions is found, for any reason, to be unlawful, void or unenforceable, the validity of the remaining provisions shall not be affected thereby. In such case, the parties shall replace the provision declared unlawful, void or unenforceable with a new provision that is as close as possible to the original intent of the parties and to the spirit of the Contract.

10.3 No failure or omission to enforce any provision of these General Terms and Conditions shall constitute a waiver of such provision.
